GENERAL RULES AND DEFINITIONS

This Subscriber Agreement, which includes the Operating Rules set forth herein constitutes Subscriber's Agreement with Amberwood Trading Ltd (ATL"), with respect to Subscriber's use of the ATL service (the "Service"). Subscriber must agree to abide by all of the terms and conditions contained in the Subscriber Agreement in order to become or remain an authorised Subscriber of the Service.
Use of the service by Subscriber constitutes Subscriber's agreement with the terms and conditions of this Subscriber Agreement. ATL reserves the right, at its discretion, to change, modify, add or remove portions of this Subscriber Agreement at any time. Notification of changes in service will be posted on the Service, or sent via e-mail, or postal mail.
IF THESE OPERATING RULES OR ANY FUTURE CHANGES ARE UNACCEPTABLE TO SUBSCRIBER, OR CAUSE SUBSCRIBER TO NO LONGER BE IN COMPLIANCE WITH THE SUBSCRIBER AGREEMENT, SUBSCRIBER MAY CANCEL SUBSCRIPTION BY SENDING E-MAIL TO: jholt@amberwoodtrading.com. SUBSCRIBER'S CONTINUED USE OF THE SERVICE NOW, OR FOLLOWING THE POSTING OF NOTICE OF ANY CHANGES IN THESE OPERATING RULES, WILL CONSTITUTE A BINDING ACCEPTANCE BY SUBSCRIBER OF SUCH RULES, CHANGES, OR MODIFICATIONS.
ATL may change, suspend or discontinue any aspect of the Service at any time, including the availability of any Service feature, database, or content. ATL may also impose limits on certain features and services or restrict Subscriber access to parts or all of the Service without notice or liability.

ATL CONTENT AND SUBSCRIBER SUBMISSIONS

The contents of the ATL Internet service are intended for the personal, non-commercial use of its registered Subscribers. All materials published on ATL (including, but not limited to market reports, price updates, historic trades, also known as "The Content") are protected by copyright, and owned or controlled by Amberwood Trading Ltd or the party credited as the provider of the content, or other materials. Subscriber shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Service.
The Service is protected by copyright as a collective work and/or compilation, pursuant to U.S. copyright laws, international conventions, and other copyright laws. Subscriber may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as provided in this section of the Subscriber Agreement), create derivative works from, distribute, display, or in any way exploit, any of the Content, materials, or Service in whole or in part.
Subscriber may download or copy the Content and other downloadable items displayed on this Service for personal use only, provided that Subscriber maintains all copyright and other notices contained in such Content. Subscriber shall not store any significant portion of any Content owned by, or licensed to ATL, in any form. Copying or storing of any Content for other than personal, non-commercial use is expressly prohibited without the prior written permission from Amberwood Trading Ltd, or the copyright holder identified in the individual Content's copyright notice.

REGISTRATION AND SECURITY

As part of the registration process, Subscriber will select a password and username ("ATL ID"). Subscriber shall provide ATL with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of Subscriber's account. Subscriber may not (i) select or use a screen name of another person with the intent to impersonate that person; (ii) use a name subject to the Rights of any person other than Subscriber without authorisation; or (iii) use a screen name that ATL, in its sole discretion, deems offensive.
(a) Subscriber shall notify jholt@amberwoodtrading.com of any known or suspected unauthorised use(s) of Subscriber's account, or any known or suspected breach of security, including loss, theft, or unauthorised disclosure of Subscriber's password, (b) Subscriber shall be responsible for maintaining the confidentiality of Subscriber's password. Subscriber will never be required to reveal Subscriber's password to any representative or agent of ATL, its owners or agents.

TERMINATION

Subscriber may terminate Subscriber's account at any time by sending email to: jholt@amberwoodtrading.com. Upon termination, Subscriber will receive confirmation via e-mail that the request was received, and Subscriber's access will be suspended within 24 hours.
ATL may, in its sole discretion, terminate or suspend Subscriber's access to all or part of the Service for any reason, including, without limitation, breach of the Subscriber Agreement, or assignment of the Subscriber Agreement by Subscriber.

MISCELLANEOUS

This Subscriber Agreement has been made in and shall be construed and enforced in accordance with New York law. Any action to enforce this agreement shall be brought in the federal or state courts located in New York City.
